Civil Code Amendment 2026: what changes for businesses
Starting January 2026, the amendment to the Czech Civil Code brings several major changes regarding contractual relationships, liability, and consumer protection. Here is an overview of what affects you most.
The amendment adopted in late 2025 introduces three key changes impacting common business practice.
1. Shareholders liability
Creditor protection in limited liability companies is strengthened – in cases of demonstrably dishonest conduct, shareholders will be liable beyond their contribution.
2. Consumer contracts
The withdrawal period for distance contracts over CZK 50,000 is extended from 14 to 30 days.
3. Limitation periods
Most commercial claims now have a unified 4-year limitation period.
